Wyoming offers one of the most cost-effective startup fees in the country. The state charges a $100 filing fee to form an LLC and an annual report fee of $60. 

In contrast, forming a South Carolina LLC comes with a higher filing fee of $110, which increases to $125 if you file online. 

Overall, both states are affordable compared to others, but Wyoming offers lower formation costs, which is perfect for small businesses still trying to establish their capital and LLC assets.

South Carolina LLC owners, on the other hand, are subject to state income tax, which can impact the overall tax burden for members. The rate ranges from 0% to 6.2%, depending on income level. For LLCs taxed as corporations, South Carolina levies a state corporate income tax at a flat rate of 5% on taxable income. 

Additionally, a corporate license fee (similar to a franchise tax) is imposed, calculated at $1 per $1,000 of capital stock and paid-in or capital surplus, with a minimum of $25. All these tax liabilities make it difficult for small business owners in the state to reinvest in their business.

Considerations for Foreign LLCs

In Wyoming, foreign LLC registration involves filling out an application and paying a $150 filing fee. You’ll also need to provide a Certificate of Good Standing from your original state, which must be dated within the last 60 days.

Meanwhile, South Carolina requires foreign LLCs to file a Certificate of Authority with the Secretary of State, along with a $110 fee. Similar to Wyoming, a Certificate of Good Standing is required.
