Additionally, Nevada has no state business license requirement, which can save entrepreneurs time and money. However, Nevada does require an Initial List of Managers or Members, which costs $150 and must be filed within 30 days of formation.
In contrast, Pennsylvania requires a Certificate of Organization, which costs $125 and must be filed by mail or in person. Pennsylvania also requires an Annual Report, which costs $70 and must be filed annually. On top of this, a state business license must be secured, which can cost up to $300, depending on the type of business.
Tax Benefits
As a state without a corporate income tax, no franchise tax, and no personal income tax, Nevada has earned the reputation of being a tax-friendly state for businesses that want to form an LLC. This can translate to significant savings for businesses, especially those with high profits. Additionally, Nevada has a relatively low sales tax rate of 6.85%.
Pennsylvania has a corporate income tax rate of 9.99%, one of the country’s highest. The state also has a franchise tax, which can be a significant expense for LLCs with high net worth. However, Pennsylvania’s sales tax rate is lower than Nevada’s at 6%.
Legal Protection
Both Nevada and Pennsylvania offer this protection to LLC owners, meaning personal assets are protected from business debts and lawsuits. However, Nevada’s legal system is known for being particularly pro-business, which can be advantageous for LLC owners.
Pennsylvania’s legal system, while still strong, may not be quite as favorable to businesses. The state has a reputation for being more litigious than other states, meaning that lawsuits may take longer to resolve and be more expensive.
