Comparing Nevada and New Hampshire LLC: Which State is Right for You?
Businesses in Nevada vs. New Hampshire
One of the most important factors to consider when incorporating a business is its location. Your primary location determines how high your company's chances of surviving are. It also affects how much it would cost you to run your startup.
Each state has its unique features, from low registration fees to major tax advantages. The more benefits a state offers, the better it is for your startup. If you want your company to succeed, you need to find an environment that could help you do that.
Choosing the right state for your startup isn't easy. So, to help you out, we've compared the benefits of starting an LLC in New Hampshire and Nevada.
This guide will show you why Nevada is the most business-friendly state in the country.
Business Formation
To form an LLC in Nevada, businesses must file articles of organization with the Secretary of State and pay a $75 fee. Additionally, they must appoint a registered agent with a physical address in Nevada to receive legal documents on behalf of the LLC.
Nevada law allows for a single-member LLC, meaning organizations can form an LLC with just one member. However, they must file a separate business license application with the Nevada Secretary of State.
In New Hampshire, forming an LLC is similar to Nevada, except they require a $100 fee, and the appointed registered agent must have a physical address in New Hampshire. New Hampshire also allows for a single-member LLC and requires you to file for a business license.
Taxation
The state of Nevada is known for its favorable tax laws as it does not have a state income tax, franchise tax, or corporate income tax. This means that LLCs formed in Nevada are not subject to state-level income taxes. Instead, the state uses sales, gaming taxes, and other fees to generate revenue.
In contrast, New Hampshire does not have a state income tax but a Business Profits Tax (BPT) and a Business Enterprise Tax (BET). The BPT is a tax on net business income, while the BET is a tax on gross receipts. LLCs formed in New Hampshire are subject to taxes, which can add to a significant tax burden.
Other Factors
Nevada has a specialized court system that handles business-related disputes, which can lead to the faster and more efficient resolution of legal issues.
On the other hand, New Hampshire's legal system is not specialized in business-related disputes, which can lead to longer and more costly litigation.
