Nevada and Mississippi rank 7th and 30th in Tax Foundation’s State Business Tax Climate Index, respectively. This ranking compares every state's tax system based on five components: individual income tax, sales tax, corporate tax, property tax, and unemployment insurance tax.
The index also gives the best state tax environments to increase the chance for your business’ success. For instance, Mississippi transitioned from a graduated income tax structure to a flat rate of 5% in 2023. The state plans to decrease this rate to 4% by 2026 gradually. Meanwhile, Nevada has no corporate or individual income tax but still imposes gross receipts taxes.
Recognition of Series LLC
Series LLCs comprise a parent or umbrella company with one or more subsidiaries under them. Every subsidiary is considered an independent entity with separate operations, assets, and management. Accordingly, their liabilities are also detached from the other series under the parent venture.
This form of LLC is an excellent way to protect your assets as owners get full liability protection. Moreover, your venture is not at risk of the liabilities the other subsidiaries may experience.
For example, the parent venture is in the food industry. You run a patisserie business; the other subsidiaries are a cafe and fast food restaurant. When one is sued, you don’t have to worry about any large-scale problems because your company is separate and protected.
Unfortunately, Mississippi doesn’t recognize series LLC. Don’t miss its benefits; consider forming your LLC in Nevada instead.
No Gift Tax
There is no imposed gift tax in Nevada and Mississippi, which means you can give gifts to a person as long as their value doesn’t go above the $17,000 limit. You are also not required to declare these items in your tax return. However, amounts that go above will decrease your lifetime exemption of $12.92 million.
