Comparing Nevada and Arkansas LLC: Which State is Right for You?
Businesses in Nevada vs. Arkansas
Starting a venture requires you to make important business decisions. One of the things to consider is where you want your startup to be located. After all, it will determine your company’s chances of surviving and helps you understand the regulations you must follow.
Some states have more requirements for business formation than other states. For instance, foreign startups must file a separate registration from their business license. If your LLC is in another state and you want to expand operations, you’ll have to pay an additional fee besides the initial filing.
These factors can complicate the entire startup process. Fortunately, we’re here to help. Should you start business formation in Nevada or Arkansas? Know more in our quick guide.
Estate Tax
This levy is sometimes called “death tax” as it is imposed on the estate of a person who recently passed away. The estate tax is applied before the money has been passed on to their respective heirs.
Nevada and Arkansas are two of the three states in the country without a state-level estate tax, making them excellent choices to consider in running your startup.
Franchise Tax
The Arkansas Corporate Franchise Tax requires all corporations registered in the state to pay an annual franchise tax. This includes LLCs, corporations, banks, and other companies. Failure to pay on time can result in additional fees, penalties, and interest. In worse cases, the authorization to conduct business may be revoked. Franchise taxes will continue to accrue even for revoked businesses and will only stop until the business is dissolved, merged, or withdrawn.
LLCs in Arkansas must pay $150 for this excise. On the other hand, Nevada does not require ventures to pay a franchise tax. You can consider this levy in deciding whether to start your LLC in Nevada versus Arkansas.
Business Court
A business court provides a case management structure for a more timely and effective resolution of business cases. Arkansas does not have this benefit, making settling disputes with your shareholders more difficult.
You may want to consider Nevada as the location for your venture, as there are business courts to expedite your concerns and handle shareholder disagreements.
