Formation Requirements and Maintenance
Delaware does not impose LLC members to be residents or even U.S. citizens, and no publication or annual meeting requirements exist. The state’s Division of Corporations also provides online services, allowing you to start and manage an LLC from a distance.
On the other hand, LLCs in North Carolina must file Articles of Organization, appoint a registered agent with a physical address in the state, and conduct annual meetings with minutes and records. The annual report in North Carolina also involves more comprehensive information, potentially increasing administrative burdens.
Privacy
Delaware LLCs don’t need to list the members’ names in the Certificate of Formation, allowing for greater anonymity. Moreover, Delaware does not routinely collect or disclose sensitive financial information about LLCs. This is appealing for businesses that prioritize confidentiality.
In contrast, North Carolina requires LLCs to disclose the names and addresses of members in their Articles of Organization, which become part of the public record. This means anyone can access this information, potentially affecting the privacy of LLC members.
