Formation Requirements and Maintenance
Delaware has a relatively straightforward LLC formation process, making it attractive for any business of any size or scale. It doesn't require LLC members to be residents of the state, and the state offers a high degree of flexibility in structuring an LLC.
On the other hand, Mississippi offers a more cost-effective alternative. Although it does require an initial report and annual report to be filed with the Secretary of State, Mississippi's Limited Liability Act is generally accommodating and affordable for small to medium-sized businesses.
Taxation
Delaware doesn't have a sales tax, value-added tax (VAT), as well as corporate income tax for LLCs that do not conduct business within the state. This can benefit businesses that generate substantial income or hold valuable intellectual property. However, Delaware does impose an annual franchise tax, which can be relatively high for larger LLCs.
Like Delaware, Mississippi offers a relatively favorable tax climate for LLCs, with no annual franchise tax and a reasonable 5% corporate income tax rate. However, Mississippi does have a state sales tax, which can affect businesses engaged in retail or sales.
