However, forming an LLC in Delaware can be relatively costlier than in other states due to higher initial filing fees and franchise taxes. Additionally, Delaware requires businesses to have a registered agent, adding to ongoing costs.
On the other hand, Illinois provides a streamlined formation process and lower initial filing fees compared to Delaware. While the former’s legal system is robust, it may not be as specialized in corporate matters as the latter’s Court of Chancery. Illinois imposes an annual report fee, which can be seen as an ongoing compliance cost for businesses.
Taxation
Delaware's allure in taxation stems from its lack of sales tax and low corporate income tax rates. LLCs that conduct business outside of Delaware may still have to pay taxes in the states where they operate, potentially leading to a complex tax situation.
In contrast, Illinois has a higher corporate income tax rate and imposes a sales tax. This might seem less attractive initially, but Illinois does not tax income earned outside the state, potentially simplifying tax matters for LLCs operating beyond state lines.
Privacy
When it comes to privacy, Delaware tends to offer more anonymity for LLC owners. Delaware law doesn't require the public disclosure of LLC members' names in formation documents, providing an extra layer of confidentiality. Bear in mind that the registered agent's information is public, and some degree of information might still be accessible.
In Illinois, while privacy measures are in place, the state requires more extensive reporting of member information; the state requires the names and addresses of LLC managers or members to be disclosed in the Articles of Organization, potentially compromising privacy.
